Product and Pricing Policy

PRODUCT AND PRICING POLICY

1. PURPOSE AND SCOPE

This Product and Pricing Policy (the "Policy") sets out the scope of the services offered through the website at www.treatx.health (including its subdomains) (the "Platform"), operated under the "TreatX Health" brand by TREATX Medikal Turizm Sanayi ve Ticaret A.Ş. (the "Company" or "TreatX"), the subscription packages offered to Service Providers, the commission structure, currency and billing principles, and the rules governing price changes. This Policy shall be read together with the Privacy Policy, Security Policy, Membership Agreements, Distance Service Agreement, Preliminary Information Form, and Cancellation and Refund Conditions published on the Platform.

The Company acts as an intermediary service provider within the scope of Law No. 6563; it is not the provider of the healthcare, aesthetic/beauty, or consultancy services offered through the Platform. Such services are provided by the relevant Service Provider under its own professional responsibility, and the fees for such services belong to the relevant Service Provider.

2. DEFINITIONS

Term

A natural person who books an appointment with or purchases a service from a Service Provider through the Platform.

Package

A subscription plan offered to Service Providers that determines capacity items, features, and commission rates (Section 4).

Marketplace Referral (Lead)

A new patient request/contact request transmitted to a Service Provider through the Platform's marketplace showcase and channels.

Marketplace-Sourced Service Recipient

A Service Recipient whose relevant booking was acquired through the Platform's marketplace channels (where TreatX brought the patient).

Service Provider-Sourced Service Recipient

A Service Recipient invited to or registered on the Platform by the Service Provider through its own channels (where the Service Provider brought the patient).

Commission

The intermediary fee due to the Company in connection with bookings made through the Platform (Section 5).

Payment Institution

Payment and/or electronic money institutions authorised under Law No. 6493 and integrated by the Company; the current Payment Institution in Türkiye is iyzico.

The rules for attributing a booking to a particular source (attribution) are set out in the Service Provider agreement and on the Platform dashboard.

3. PLATFORM BUSINESS MODEL

The Platform is a two-sided online marketplace. For Service Recipients, the Platform facilitates the discovery of Service Providers, the booking of appointments and purchase of service packages, written communication with Service Providers, and the secure processing of payments. For Service Providers, the Platform provides management tools within the scope of subscription packages (including calendar/booking management, team management, messaging, accounting views, campaign tools, etc.), together with marketplace visibility and patient referrals.

Payments made by Service Recipients are safeguarded in accounts held with the Payment Institution within the marketplace payment flow; Service Provider entitlements are transferred to the Service Provider through the Payment Institution in accordance with the service performance and entitlement conditions specified for the relevant booking/agreement, after deduction of the commission due to the Company (see Security Policy, Section 5.4).

Platform membership is free of charge for Service Recipients; the Company does not charge Service Recipients any separate fee for use of the Platform or any additional intermediary fee on top of the service fee. The Service Recipient pays only the service fee determined by the relevant Service Provider; the amount is collected on behalf of the Service Provider within the marketplace flow, and a payment made by the Service Recipient through the Platform is deemed to have been made to the Service Provider (see Distance Service Agreement, Article 6.3). Where included in the booking, the costs of Travel Components such as accommodation, transportation, and transfers are shown as separate line items on the booking screen and in the contractual documents. The right of withdrawal, cancellations, and refunds are governed by the Distance Service Agreement, Preliminary Information Form, and Cancellation and Refund Conditions.

4. SERVICE PROVIDER PACKAGES

The following packages are offered to Service Providers according to their needs. Package scopes and current prices are published on the subscription screen of the Platform; in the event of any discrepancy between that screen and this Policy, the current information displayed on the subscription screen shall prevail.

5. COMMISSION STRUCTURE

The Company's intermediary revenue consists of commissions charged on bookings made through the Platform. The commission rate is determined according to two variables: (i) the Service Provider's active Package at the time of the transaction and (ii) the source of the booking (Marketplace-Sourced / Service Provider-Sourced Service Recipient). Current rates are set out in the table in Section 4.

The commission is calculated on the service fee collected from the Service Recipient in connection with the relevant booking and is deducted from the entitlement payment to be made to the Service Provider. The invoicing/documentation arrangements relating to commissions are set out in Section 8.

Rate protection: Commission rates are applied based on the active Package in effect at the time of the transaction. Package changes apply prospectively; existing bookings retain the commission rate applicable on the date they were purchased.

6. LAUNCH-PERIOD CAMPAIGNS — "FOUNDING PARTNER"

During the launch period of the Platform, the Company may offer special campaign packages in limited numbers and/or for a limited period. In this context, it is envisaged that a launch package named "Founding Partner" may be offered to Service Providers that join the Platform through the Trial package, limited to a number to be determined by the Company based on launch feedback, under which no monthly subscription fee is charged and the revenue model is based solely on commission.

The scope of the Founding Partner package (included user count, marketplace referral and campaign entitlements, and feature set), applicable commission rates, participation conditions, and other campaign-specific terms shall be set out in the Campaign Terms to be published on the Platform before the campaign is launched. The exemption granted under the campaign is specific to the Service Provider account and may not be transferred. The Company reserves the right to terminate participation in the campaign in the event of misuse, breach of the membership agreement, or closure of the account.

7. CAMPAIGNS AND COUPONS FOR SERVICE RECIPIENTS

The Company and/or Service Providers may offer campaigns, coupons, and discounts to Service Recipients; the conditions of eligibility shall be published in the relevant campaign terms, and discounts shall be shown as separate line items in the price table at the booking stage. The party funding the discount and the manner in which it affects the Service Provider entitlement shall be determined in the Service Provider Membership Agreement and the campaign terms. In the event of a refund, the amount actually paid by the Service Recipient shall be taken as the basis (see Cancellation and Refund Conditions). Campaign and discount announcements relating to healthcare services are subject to the restrictions under the Regulation on Promotional and Informational Activities in Healthcare Services; surfaces directed at persons residing in Türkiye shall be configured in compliance with the prohibition on displaying price/discount/campaign information. These restrictions are applied parametrically by the Company on the Platform surface directed at users residing in Türkiye.

8. CURRENCY, TAXES AND BILLING

Currency: Pursuant to Decision No. 32 on the Protection of the Value of the Turkish Currency and the relevant Communiqué, as a general rule, the consideration under service agreements between persons resident in Türkiye may not be agreed in foreign currency or indexed to foreign currency. Accordingly, subscription fees and commissions applicable to Service Providers resident in Türkiye are determined and announced in Turkish Lira and may not be defined by reference to a foreign-currency equivalent. For Service Providers resident outside Türkiye, prices may be determined in EUR or other announced currencies. The currencies available for Service Recipient payments are displayed on the payment screen.

Taxes: Published subscription fees and commission rates exclude VAT and other taxes. The Company issues e-invoices/e-archive invoices for subscription fees and commission amounts in accordance with applicable legislation.

Billing and collection: Subscription fees accrue monthly in advance and are collected through the registered payment method. The subscription renews automatically at the end of each period. Commissions are collected by deduction at the time entitlement payments are made.

Package changes and termination: The Service Provider may upgrade or downgrade its package through the Platform. An upgrade takes effect immediately, while a downgrade or cancellation takes effect at the end of the current subscription period; fees for a period already processed are non-refundable. The rate-protection rule in Section 5 applies to the effect of package changes on commissions.

9. PRICE AND POLICY CHANGES

The Company may change package scopes, prices, and commission rates in line with commercial requirements. Changes apply prospectively; changes to subscription fees do not affect the Service Provider's current subscription period and are notified at least 30 days in advance through the Platform and/or by email. The rate-protection rule in Section 5 remains applicable to changes in commission rates. The current Policy enters into force on the date it is published on the Platform; previous versions are archived for evidentiary purposes.
